Vozo App -- TERMS OF USE

1. Introduction

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you”) and VISTRING TECHNOLOGY HOLDINGS LIMITED(“Vozo,” “we,” “us,” or “our) governing your access to and use of theVozo App (Vozo: AI Video Maker) and all related applications, websites, features, content, and services made available by Vozo (collectively, the “Services”).

By installing, accessing, or using the Services, you acknowledge that you have read and understood these Terms, agree to be bound by them, and consent to receiving these Terms in electronic form.

If you do not agree, you must cease using the Services immediately.

These Terms incorporate and reference Vozo’s Privacy Policy.

2. Eligibility

The Services are intended for individuals twelve (12) years of age or older.

Users under thirteen (13) may not upload Personal Data or use any features involving image, face, or voice processing.
Users aged thirteen (13) to seventeen (17) may use the Services solely with the consent and ongoing supervision of a parent or legal guardian.

You represent that you satisfy these requirements and that all information you provide is truthful and accurate.

3. Description of the Services

The Services include, without limitation, advanced AI-powered audiovisual creation tools, such as:

AI Avatar Video Generation
AI Talking Photo / AI Face Animation
AI-driven video editing and post-production tools
Template-based short-form video creation
AI-generated speech synthesis and voice cloning
Automated stylistic subtitle generation
Multilingual subtitle creation, translation, and localization
Caption timing, formatting, and visual enhancement tools
Automated video transformation, effects, and creative filters
Processing of Input Data to create user-specific Personalized Models

Certain features require creation of a user account and may be subject to payment or subscription terms.

Vozo reserves the right to modify, enhance, suspend, or discontinue any feature of the Services at any time.

4. Input Data and Generative AI Features

To use AI-powered functionality, you may upload or provide certain content (“Input Data”), including:

Portrait images, face photographs, or likeness
Videos (original or edited)
Voice samples, audio recordings, or speech inputs
Text prompts, captions, translations, and creative instructions
Any other data submitted to generate AI Output or Personalized Models

By submitting Input Data, you represent and warrant that:

You possess all rights, permissions, licenses, and consents necessary to submit and use such Input Data.
You have obtained express consent from any identifiable individual whose likeness, image, or voice appears in the Input Data.
Input Data does not infringe or violate any third-party rights or any applicable law.
If Input Data involves a Minor, you have obtained valid parental or guardian authorization.

You assume full responsibility for your Input Data and any consequences arising from its use with the Services.

5. Personalized Models and AI Output

Vozo may process Input Data using machine-learning mechanisms to generate:

AI-generated avatar videos
Talking-photo animations and face-driven motion sequences
AI-generated or cloned voice output
Stylized videos, translations, and enhanced audiovisual content

(collectively, “AI Output”)

Vozo may also create Personalized Models, which:

Are derived exclusively from your Input Data;
Are accessible solely by your user account;
Are not used to train, improve, or inform models for other users;
Are not incorporated into any general-purpose, shared, or public model;
Are deleted or anonymized upon account deletion or withdrawal of consent.

Important Notices:

AI Output may be imperfect, inaccurate, or resemble real individuals.
Vozo does not guarantee that AI Output will be free from distortion, misinterpretation, infringement, or resemblance to third parties.
You remain solely responsible for your use, publication, distribution, or reliance upon AI Output, including compliance with laws governing likeness, privacy, publicity, defamation, and intellectual property.

6. Third-Party AI Providers

The Services may rely on external third-party processors (“Service Providers”), including:

Cloud GPU inference engines
Voice cloning and speech generation APIs
Video generation, transformation, and rendering APIs
Analytics and performance monitoring SDKs
Crash reporting tools and system diagnostics providers
Content delivery and infrastructure partners

Such third parties may process Input Data solely to provide requested Services.

Important Disclosure:
Vozo does not control and cannot guarantee whether certain third-party AI providers use Input Data for internal model evaluation, research, or training under their own policies.
Your interaction with any third-party services is governed by their independent terms.

Vozo disclaims liability for acts or omissions of third-party processors beyond Vozo’s control.

7. User Content and Responsibility

“User Content” includes all Input Data, AI Output, and any materials posted, created, generated, or transmitted through the Services.

You are solely responsible for:

The legality and appropriateness of your User Content;
Obtaining all required permissions or licenses;
Ensuring User Content does not violate third-party rights or applicable law;
Ensuring AI Output is not used to impersonate, defraud, harass, manipulate, or mislead others;
Compliance with laws governing AI-generated likenesses, voices, and representations of individuals.

Vozo assumes no liability for User Content or any consequences arising from your use of the Services.

You agree to defend, indemnify, and hold Vozo harmless from claims arising from User Content, AI Output, or misuse of AI features.

8. Templates and Licensing Terms

The Vozo App includes proprietary or licensed templates, assets, effects, animations, subtitle styles, and other creative elements (“Templates”).

8.1 Ownership

Vozo and its licensors retain all rights, title, and interest in and to all Templates.

8.2 License to Use Templates

Vozo grants you a limited, personal, revocable, non-exclusive, non-transferable license to use Templates solely within the Vozo Appto create AI Output.

8.3 Restrictions

You may not:

Extract, export, or reuse Templates independently;
Copy, reproduce, sublicense, distribute, or resell Templates;
Reverse-engineer or modify Template components;
Use Templates outside the App environment.

8.4 Ownership of Output

You own the final exported video, subject to:

Vozo’s ownership of Templates, and
Rights applicable to any third-party materials contained therein.

You receive no ownership of Templates or underlying creative assets.

9. Prohibited Conduct

You agree not to:

Upload unlawful, abusive, harmful, obscene, or infringing content;
Use AI features for impersonation, deepfakes, harassment, fraud, or deception;
Upload minors’ likenesses or voices without proper authorization;
Engage in reverse engineering, scraping, or unauthorized data extraction;
Interfere with or disrupt servers, networks, or security systems;
Circumvent access controls or authentication mechanisms;
Use automated tools such as bots or scrapers without written permission;
Sell, lease, or misuse the Services for competitive purposes.

Vozo may suspend or terminate your access for any violation of these Terms.

10. Subscription Plans, Point Packs, and Payments

Vozo may offer:

Auto-renewing subscription plans;
Consumable point packs or credits;
One-time purchases;
Promotional trials or limited-time offers.

10.1 Payment Processing

All purchases are processed by the applicable app store (Apple or Google).
Vozo does not access or store payment card information.

10.2 Subscriptions

Subscriptions renew automatically unless canceled through the platform where purchased.

10.3 Point Packs

Point packs:

Have no monetary value;
Are non-transferable;
Are non-refundable except where required by law;
May expire as permitted under applicable regulations.

10.4 Refunds

Refund requests must be submitted directly to the relevant app store.

11. Privacy

Your use of the Services is subject to Vozo’s Privacy Policy, which explains how Personal Data is collected, used, stored, and protected.

By using the Services, you acknowledge and consent to Vozo’s data practices.

12. Security

Vozo implements reasonable administrative, technical, and organizational safeguards to protect the integrity and confidentiality of User Content and Personal Data.

You are responsible for maintaining the security of your Account credentials and for all activities conducted under your Account.

Vozo is not responsible for unauthorized access resulting from your negligence.

13. Disclaimer of Warranties

THE SERVICES AND ALL AI OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

VOZO DISCLAIMS ALL WARRANTIES, INCLUDING:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY, COMPLETENESS, OR RELIABILITY OF AI OUTPUT
CONTINUOUS OR ERROR-FREE OPERATION

No advice or information, whether oral or written, creates any warranty not expressly stated herein.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

VOZO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
VOZO’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) TEN US DOLLARS (USD $10);
VOZO SHALL NOT BE RESPONSIBLE FOR USER CONTENT, AI OUTPUT, TEMPLATE USE, OR THIRD-PARTY PROCESSING ACTIVITIES.

Some jurisdictions do not permit certain exclusions; some limitations may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless Vozo and its affiliates from and against all claims, damages, liabilities, losses, fines, or expenses arising from:

Your User Content or AI Output;
Your violation of these Terms;
Your infringement of third-party rights;
Your misuse of AI functionality;
Your use of likeness, face, or voice of others without proper authorization.

16. Mobile Platform Terms

You acknowledge that:

These Terms are between you and Vozo only.
Apple, Google, and other platform operators are not responsible for the Services.
Platform operators may enforce their own terms as third-party beneficiaries.

17. Arbitration and Governing Terms

To the extent permitted by applicable law, disputes shall be resolved through confidential binding arbitration.

Nothing in these Terms limits any non-waivable consumer rights in your jurisdiction.

18. Changes to the Terms

Vozo may update these Terms at any time.

Material changes will be communicated through the App or by other reasonable means.

Continued use of the Services after such changes constitutes acceptance.
